The Transaction is expected to close in the second quarter of 2022, subject to customary closing conditions.

This communication contains certain “forward-looking statements,” within the meaning of Section 27A of the Securities Act of 1933, as amended, and Section 21E of the Securities Exchange Act of 1934, as amended. All statements other than statements of historical fact are forward-looking statements. Forward-looking statements include, but are not limited to, statements relating to the closing of the Transaction, potential earnout payments and other similar matters. Factors, risks, and uncertainties that could cause actual outcomes and results to be materially different from those contemplated by forward-looking statements include, among others: (1) the effects of the COVID-19 pandemic on the Company’s business; (2) the dependence of HPF’s loan origination and servicing revenues on macroeconomic and U.S. residential real estate market conditions; (3) counterparty risk; (4) the effectiveness of our risk management efforts; (5) our ability to detect misconduct and fraud; (6) any failure to attract and retain a highly skilled workforce, including our senior executives; (7) our ability to obtain, maintain, protect and enforce our intellectual property; (8) any cybersecurity risks, cyber incidents and technology failures; and (9) any employment litigation and related unfavorable publicity. Many of the important factors that will determine these results are beyond the Company’s ability to control or predict. Readers are cautioned not to put undue reliance on any forward-looking statements, which speak only as of the date of this communication.
